1. Acceptance of Terms

VyapRise ERP is owned and operated by VyapRise Technologies, a proprietorship based in Ahmedabad, Gujarat, India, registered as a micro enterprise under Udyam Registration No. UDYAM-GJ-01-0691134 ("VyapRise", "we", "us", or "our"). These Terms of Service are an agreement between you and VyapRise Technologies. By accessing or using VyapRise ERP, you agree to be bound by these Terms of Service. VyapRise provides cloud-based GST billing, inventory and accounting software for businesses. If you do not agree with any of these terms, you are prohibited from using or accessing our platform.

2. Account Registration & Security

To use our services, you must register for an account. You agree to:

• Provide accurate, current, and complete business information, including valid GST details.
• Maintain the security of your password and identification.
• Accept all responsibility for any and all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account or any other breach of security.

3. GST Compliance & Data Accuracy

While VyapRise provides automated GST calculation and formatting tools, you are solely responsible for verifying the accuracy of all tax calculations, GSTINs, and generated invoices. VyapRise is a software tool, not a registered tax advisor. We assume no liability for any penalties, fines, or legal consequences arising from incorrect data entry, miscalculated taxes, or non-compliance with Indian GST laws.

4. Intellectual Property

The VyapRise platform, including its original content, features, functionality, software algorithms, logos, design layouts, and trademarks, is and will remain the exclusive property of VyapRise Technologies and its licensors.

5. Subscriptions & Payments

5.1 Plans

VyapRise is offered on two plans, applied to each company account:

• Free — free of charge, with no end date. It includes sales billing, stock in one warehouse and reports for the current month for one user (the account owner), and allows up to 10 sales invoices per calendar month, 30 items and 10 customers per company.
• Pro — the price shown on the pricing page at the time of purchase, for one year. It includes everything in Free plus unlimited sales invoices, items and customers and the Pro modules and features (including purchase bills, receipts and payments, credit and debit notes, reports for any period, staff users, quotations, sales orders, delivery challans, purchase orders, GRN, more than one warehouse, manufacturing, POS, advanced accounting, financial statements and GST reports), with no usage caps.

The modules and limits of each plan are listed on the Pricing page. Invoices printed on the free trial or the Free plan carry a small "Powered by VyapRise" line; Pro removes it.

5.2 Free trial

Every new company receives a free trial with every module open, for the trial length shown when you sign up (see the pricing page). No payment details are needed to sign up. At the end of the trial, the company moves to the Free plan unless Pro has been purchased.

5.3 Payment

Pro is purchased by a one-time online payment for a one-year term, made through our payment processor Razorpay using UPI, cards or netbanking. Pro is activated on the company's account as soon as the payment succeeds. A payment receipt can be downloaded in the app from Settings → Plan & Billing; it is a payment receipt, not a tax invoice.

5.4 No auto-renewal; renewal

Pro does not renew automatically and we never charge you without you starting the payment. To continue on Pro you renew it yourself. If you renew before the current term ends, the new one-year term starts on your current end date, so no paid days are lost.

5.5 No refunds

Payments are non-refundable. The free trial is provided so that you can evaluate every module before paying. Because nothing renews automatically, there is nothing to cancel. Details are in our Refund & Cancellation Policy.

5.6 When Pro or the trial ends

If a Pro term or the free trial ends without renewal, the company moves to the Free plan. No data is deleted. Records entered in Pro modules remain viewable, but Pro modules cannot be used to create or edit records, and Pro-only reports are locked until Pro is renewed.

5.7 Changes to prices and plans

We may change prices, plan contents or limits for future purchases. A change does not affect a Pro term you have already paid for. Updated prices are shown on the Pricing page and in the app before you pay.

6. Limitation of Liability

In no event shall VyapRise Technologies, nor its proprietor, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of the platform.
