1. Acceptance of Terms

By accessing or using Vyaprise ERP ("Vyaprise", "we", "us", or "our"), you agree to be bound by these Terms of Service. Vyaprise provides cloud-based GST billing, ERP, inventory management, and CRM solutions for businesses. If you do not agree with any of these terms, you are prohibited from using or accessing our platform.

2. Account Registration & Security

To use our services, you must register for an account. You agree to:

• Provide accurate, current, and complete business information, including valid GST details.
• Maintain the security of your password and identification.
• Accept all responsibility for any and all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account or any other breach of security.

3. GST Compliance & Data Accuracy

While Vyaprise provides automated GST calculation and formatting tools, you are solely responsible for verifying the accuracy of all tax calculations, GSTINs, and generated invoices. Vyaprise is a software tool, not a registered tax advisor. We assume no liability for any penalties, fines, or legal consequences arising from incorrect data entry, miscalculated taxes, or non-compliance with Indian GST laws.

4. Free Tier & Subscriptions

Vyaprise offers a free tier subject to usage limits (e.g., maximum monthly invoice generation). We reserve the right to modify, suspend, or discontinue the free tier or change the pricing of our premium subscriptions at any time with prior notice. Subscription fees are non-refundable except where legally required.

5. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using the service for any illegal or unauthorized purpose, including tax fraud.
• Attempting to decompile, reverse engineer, or hack any part of the Vyaprise platform.
• Uploading or transmitting viruses, malware, or destructive code.
• Selling, reselling, or commercially exploiting our software without authorization.

6. Data Ownership & Privacy

You retain all rights to the business data you input into Vyaprise. By using our service, you grant us a license to host, store, and process this data to provide and improve the service. Please review our Privacy Policy for detailed information on how we handle your data.

7. Data Security and Breach Exemption

While we implement industry-standard security protocols to protect your business data, no system is entirely impenetrable. In accordance with the Information Technology Act, 2000 and applicable digital data protection laws of India, Vyaprise acts strictly as a technology intermediary. We shall not be held liable, and no legal cases or claims shall be entertained against Vyaprise, for any data theft, loss of live data, unauthorized access, cyber-attacks, or hacking incidents perpetrated by malicious third parties.

8. Limitation of Liability

In no event shall Vyaprise or its suppliers be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business interruption, arising out of the use or inability to use the services, even if Vyaprise has been notified orally or in writing of the possibility of such damage.

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of India. You irrevocably submit to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat for the resolution of any disputes.
